Terms of Service

1. Acceptance

By accessing or using Shiftctl ("Service") you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

These Terms are governed by the laws of Australia. Users in the UK and EU may have additional statutory rights that are not affected by these Terms.

2. The Service

Shiftctl is a cloud-based on-call shift management platform that enables IT and MSP teams to log shift activity, manage handoffs, and coordinate on-call schedules. We reserve the right to modify or discontinue features with reasonable notice.

3. Accounts

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your credentials.
  • You must be at least 18 years old (or 16 in the UK/EU where permitted by local law).
  • One person or legal entity may not maintain more than one free account.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Transmit malware, spam, or any content that is harmful, defamatory, or infringing.
  • Reverse-engineer, decompile, or copy any part of the Service.
  • Resell or sublicense access to the Service without written permission.

5. Subscriptions, billing, and auto-renewal

  • Paid plans are billed in advance on a monthly or annual cycle via Stripe.
  • All fees are exclusive of taxes (GST, VAT, etc.) which are added where applicable.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing period at the then-current rate until you cancel. You can cancel at any time from Settings → Billing → Manage subscription.
  • Cancellation takes effect at the end of the current billing period; you retain full access to paid features until then.
  • Annual plan cancellations are non-refundable — access continues until the end of the paid period.
  • We do not offer refunds for change of mind after a billing period has started.
  • We will provide a pro-rata credit or refund if the Service fails to function materially as described or experiences significant unplanned downtime attributable to us.
  • Nothing in these Terms limits your statutory rights under the Australian Consumer Law, the UK Consumer Rights Act 2015, or equivalent legislation.
  • We may change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.

5a. Startup Program

Shiftctl may offer a promotional discount ("Startup Program") to eligible teams. The following terms apply:

  • Eligibility is determined at onboarding based on the number of Service Desk employees declared by the team owner. Teams with fewer than 20 employees may qualify.
  • The discount applies to the Enterprise plan on annual billing only and provides 50% off the standard annual rate for the first 12 months of the subscription.
  • After the 12-month discount period, the subscription automatically renews at the standard annual Enterprise rate. You will be notified of the price change before renewal.
  • The Startup Program discount is a one-time offer. It cannot be reused if you cancel and re-subscribe, or if you downgrade and later upgrade again.
  • The employee count is self-declared and is not verified against your actual team membership. However, we reserve the right to withdraw the discount if the declared figure is materially inaccurate.
  • We may discontinue or modify the Startup Program at any time. Existing discounted subscriptions will be honoured for their full 12-month term.
  • All other billing terms in Section 5 apply to Startup Program subscriptions, including auto-renewal, cancellation, and refund policies.

6. Your data

You retain ownership of all data you input into Shiftctl ("Customer Data"). You grant us a limited licence to store and process Customer Data solely to provide the Service. We will not access Customer Data except to provide support, ensure security, or as required by law.

6a. Third-party tracking and advertising

Our public-facing pages (such as the landing page, documentation, and blog) may use third-party advertising pixels and tracking technologies — including the Reddit Pixel and LinkedIn Insight Tag — to measure ad campaign performance and build retargeting audiences. These tools are only activated with your consent via our cookie banner.

Advertising pixels are not loaded on authenticated pages within the application (such as the dashboard, settings, or shift management pages) to ensure that your Customer Data is not exposed to third-party advertising platforms.

7. Intellectual property

The Service, including its software, design, and content, is owned by Shiftctl and protected by copyright and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

8. Uptime and support

We aim for high availability but do not guarantee uninterrupted access. The Service is provided "as is" without warranties of any kind to the maximum extent permitted by law. Nothing in these Terms excludes statutory rights you may have under Australian Consumer Law, the UK Consumer Rights Act, or equivalent legislation.

9. Limitation of liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

10. Termination

We may suspend or terminate your account if you breach these Terms. You may delete your account at any time from Settings. On termination, your data will be deleted in accordance with our Privacy Policy.

11. Governing law and disputes

These Terms are governed by the laws of Victoria, Australia. Disputes shall be resolved through good-faith negotiation. If unresolved, either party may pursue remedies through the courts of Victoria, without prejudice to any statutory dispute resolution rights available to consumers in the UK or EU.

12. Changes to these Terms

We may update these Terms with 14 days' notice via email or in-app notification. Continued use after the notice period constitutes acceptance of the updated Terms.
